A. Minimum Capital requirement

A SPRL is a form of company with minimum two shareholders (“single shareholder” companies are also available).

يتطلب تأسيس الشركة الخاصة ذات المسؤولية المحدودة (SPRL) مساهمين اثنين على الأقل (كما يوجد شركات بـ "مساهم واحد" فقط).

A minimum capital of € 18,550 has to be subscribed by the founders and € 6,200 paid on on a bank account issued in the name of the company in formation.

وعلى المؤسسين ان يساهموا برأس مال قدره 18.550 يورو كحد أدنى وإيداع 6.200 يورو على حساب مصرفي يفتح باسم الشركة التي يجري تأسيسها.

The bank will need documents identifying the domicile of the managers and a description of the specific business the Company will engage in.

ويحتاج المصرف إلى وثائق تحدد مكان إقامة المدراء مع وصف دقيق للنشاطات التي تعتزم الشركة القيام بها.

The bank representatives also have to meet “face to face” the future managers of the new company.

كما يتم عقد مقابلة بين ممثلي المصرف ومدراء الشركة الجديدة.

The bank will then issue a certificate of deposit and the founders will, together with this certificate and the financial plan they have prepared with an accountant, appear before a notary to formally incorporate the company.

ومن ثم يصدر المصرف شهادة إيداع يتم تقديمها من قبل المؤسسين، مع الخطة المالية المعدة من قبل محاسب، لكاتب العدل ليتم تأسيس الشركة بشكل رسمي.

B. Financial Plan drafted with the assistance of an accountant

This plan should give a detailed overview of all debts, assets & income required for the first two years of operation of the company.

C. Public Notary & preparation of the Articles of Incorporation

The notary must be provided with various information in order to prepare the deed, e.g. the Corporate name & purpose, number of shares & identity of the shareholders, managers & board members,…

يحتاج كاتب العدل إلى عدد من المعلومات بغية إتمام عمله، على سبيل المثال اسم الشركة وغرضها، عدد الأسهم، هوية المساهمين، المدراء وأعضاء مجلس الإدارة...

The founders-subscribers must be present or represented by someone holding a proxy.

على المؤسسين- المشتركين أن يكونوا حاضرين أو أن يكونوا ممثلين من قبل شخص يحمل توكيل.

When the deed is signed, the notary shall provide the persons who are appointed members of the board of the new company, a certificate confirming that the company is incorporated.

عند إتمام العقد وتوقيعه، يقوم كاتب العدل بإصدار شهادة تثبت تأسيس الشركة لأعضاء مجلس إدارة الشركة الجديدة.

This certificate allows the manager to obtain the release of funds that have been paid on the company’s bank account.

وتسمح هذه الشهادة لمدير الشركة بالإفراج عن الأموال التي تم إيداعها على الحساب المصرفي للشركة.

D. VISA & professional card

Foreign (non-European Economic Area) nationals intending to settle in Belgium as self-employed (directors of a EEE-company) have to obtain a professional card (carte professionnelle/beroepskaart) & a Visa.

على المواطنين الأجانب (من خارج المنطقة الاقتصادية الأوروبية) الراغبين بالإقامة في بلجيكا للعمل لحسابهم الخاص (مدراء لشركة في المنطقة الاقتصادية الأوروبية) الحصول على بطاقة مهنية وتأشيرة دخول.

The professional card is a form of permit for self-employed individuals and directors who are not Belgian citizens; are not citizens of a Member State of the European Economic Area (EU Member States plus Iceland, Norway and Liechtenstein) or Switzerland; or have not been exempted from this requirement.

البطاقة المهنية عبارة عن تصريح عمل للأشخاص العاملين لحسابهم الخاص والمدراء غير البلجيكيين، أو من خارج الدول الأعضاء في المنطقة الاقتصادية الأوروبية (الدول الأعضاء في الاتحاد الأوروبي بالإضافة إلى ايسلندا والنروج وليشتنشتاين)، أو سويسرا، أو الذين لم يتم اعفائهم من هذا الشرط.

Applications for professional cards must be submitted either to the Belgian diplomatic or consular representation in the country of residence if the applicant resides abroad.

في حال إقامتهم في الخارج، على هؤلاء الحصول على البطاقة المهنية عن طريق الممثلية الدبلوماسية أو القنصلية البلجيكية المعتمدة في بلد الإقامة.

The road to become self-employed does not end with a professional card and the procedure mentioned above. One also has to evidence that she possess basic management knowledge.

لا ينتهي الطريق مع البطاقة المهنية والإجراءات المذكورة أعلاه للعاملين لحسابهم الخاص، حيث عليهم أيضا إثبات أنهم يمتلكون المعرفة الأساسية في مجال إدارة الأعمال.

Becoming a self-employed individual (or director of a Belgian company) will depend on the public interest for Belgium of the specific business to be carried, which will be appreciated according to various economic parameters by the Belgian regions, i.e. it is examined whether the business project meets economic needs, creates employment, involves useful investments, what economic impact it has on enterprises and whether it promotes export, innovative or specialised activity.

كما يعتمد القيام بالعمل لحساب خاص في بلجيكا أو إدارة شركة بلجيكية على مدى المنفعة العامة التي تعود بها على بلجيكا والتي سوف تكون محل تقدير وفقا لمعايير اقتصادية مختلفة للمناطق البلجيكية، كدراسة المشروع التجاري لمعرفة ما إذا كان يتماشى مع الاحتياجات الاقتصادية، ويوفر فرص عمل، ويشمل استثمارات مفيدة، ومدى تأثيره الاقتصادي على الشركات، وما إذا كان يشجع الصادرات ويوفر نشاطات مبتكرة أو متخصصة.
